Terms and Conditions
This Agreement defines the conditions between the “COMPANY,” which engages Videodotedit (the “CONTRACTOR”) for creative projects. Indian business Videodotedit is found at 10075, F2, West Gorakh Park, Shahdara, Delhi, 110053 INDIA.
The COMPANY acknowledges acceptance and knowledge of the subsequent conditions by paying the first invoice:
1. SERVICES AND PAYMENT
1.1 The COMPANY And CONTRACTOR agrees to produce a live-action brand video (referred to as “the Work”). The invoice should be paid within seven (7) days. After the final version is approved but before the final files arrive, the COMPANY must pay 60% of the total project cost before Work can begin and the remaining 40% afterward.
1.2 The COMPANY may ask for two rounds of reviewing within seven (7) working days from the time the first Work is given. A round can have up to ten change orders. These modifications ought to follow the approved storyboard. Significant changes in the storyboard are seen as beyond the initial scope and will incur additional fees. The contractor will finish these adjustments within seven (7) business days. The Work is considered final following these changes. The goal of the production schedule is not to have a hard deadline, and neither side can demand more compensation for delays.
1.3 If the COMPANY demands more work than the two provided rounds of edits, it will be charged $100 AUD per hour.
2. OWNERSHIP AND RIGHTS
2.1 The CONTRACTOR transfers all Work rights to the COMPANY once full payment is accepted. This covers copyright and the power to license or give others the Work. Without written permission from the COMPANY, the CONTRACTOR will not distribute or reproduced the Work.
2.2 All copyrights are COMPANY property in the case of “work for hire.” The CONTRACTOR renounces any “moral rights” and completely transfers all rights to the COMPANY if any portion of the Work does not meet the definition of “work for hire.”
2.3 Whether required, throughout or after the engagement, the CONTRACTOR will help the COMPANY obtain legal rights, including copyrights or trademarks. The CONTRACTOR will sign the papers necessary to transfer rights when asked.
3. TERMINATION
3.1 This Agreement will be terminated if either side sells its business or declares bankruptcy.
4. CANCELLATION OF PRODUCTION DATES
4.1 If the COMPANY postpones, cancels, or defers a production date less than 48 hours before the shoot, a 20% project total cancellation fee will be applied. This includes talent expenses, location rentals, crew resource requirements, permits, and equipment reservations.
5. PROJECT CANCELLATION
5.1 The first 60% deposit the COMPANY pays is nonrefundable and defrays preproduction costs.
6. WARRANTIES AND INDEMNIFICATION
6.1 The CONTRACTOR guarantees against:
- The Work is new and unsubmitted.
- The Work has no defamatory or unlawful content.
- The CONTRACTOR may delegate the WORK to the COMPANY.
The CONTRACTOR shall undertake the COMPANY for indemnities from third parties while in Work. The COMPANY will hold the CONTRACTOR from claims regarding utilizing such Work.
7. COMPLETE AGREEMENT
7.1 This Agreement is the entire Agreement between the parties. Any changes must be made in writing and signed by both parties.
8. SEVERABILITY
8.1 If any provision of this Agreement is found invalid or unenforceable, all other provisions will remain in full force and effect.
9. GOVERNING LAW
9.1 The laws of India govern this Agreement.
10. WAIVER
10.1 Failure of either party at any time to enforce or insist on compliance with any of the rights or provisions of this Agreement shall not constitute a waiver of such rights or provisions.
11. HEADINGS
11.1 Section headings are for convenience purposes and do not affect the interpretation of the contract.
12. EXECUTION
12.1 This Agreement could be executed in multiple copies, each of which, when taken individually, will be deemed an original, but all will constitute one Agreement.
